Everybody's AlbumEverybody's AlbumThe following Terms of Participation ("Agreement") govern the submission of any audio, sound, or recording (collectively, a "Submission") and the corresponding receipt of compensation or consideration from Nano Animal Care LLC ("Nano Animal Care," "we," or "us") and its affiliates, including but not limited to Nano Music Store LLC ("Nano Music Store") (together, the "Nano Entities"). By submitting a recording through the Site, you ("Participant") agree to the following:
Participants may, at their sole discretion, elect to opt out of the digital compensation and redemption system otherwise provided through the Site.
In such event, Participant may request to receive physical cash remuneration equivalent to Seven United States Dollars and Ninety-Nine Cents (US $7.99).
To initiate this process, Participant must transmit a signed and notarized written request by certified postal mail to:

The written request must clearly reference this "Mountain Clause," include the Participant's legal name, mailing address, wallet identifier (if any), and a sworn acknowledgment that the Participant understands and accepts the $7.98 non-refundable convenience fee required for physical settlement.
Upon receipt and verification, Participant must appear in person—without proxy—at the following coordinates to collect payment:
Mount Thor Summit, Baffin Island, Nunavut, Canada — 66° 33′ 11″ N, 65° 19′ 32″ W
Payment shall be made in U.S. currency at said location, less the stated convenience fee. Failure to satisfy any procedural requirement herein shall constitute a permanent waiver of the alternative payment right.
Each Submission is deemed a "work made for hire" under 17 U.S.C. § 101, created specifically for and at the direction of Nano Animal Care LLC. Accordingly, Nano Animal Care LLC shall be deemed the sole and exclusive "author" and owner of all rights, title, and interest in and to such Submission, including all copyrights and neighboring rights, in perpetuity and throughout the universe.
To the extent any jurisdiction does not recognize the Submission as a work made for hire, Participant hereby irrevocably assigns, transfers, and conveys to Nano Animal Care LLC and its affiliates all rights, title, and interest (including all copyrights, moral rights, and derivatives) in and to the Submission and any materials derived therefrom.
Participant expressly waives any claim for royalties, residuals, or other consideration in connection with the use, distribution, reproduction, public performance, or exploitation of the Submission. The compensation described herein constitutes full and adequate consideration for such assignment.
Upon acceptance of a Submission, Nano Animal Care LLC shall execute a blockchain-recorded transfer of Seven United States Dollars and Ninety-Nine Cents (US $7.99), denominated in USDC on the Sophon blockchain, to the wallet designated by the Participant (the "Participation Grant").
Participant may, at their sole election, click a designated redemption mechanism on the Site to convert the Participation Grant into a Nano Music Store digital gift card of equal nominal value (US $7.99). Such redemption is entirely voluntary.
Once issued, the digital gift card may be used to:
Participant may also choose not to redeem or exit the Site at any time without obligation to complete any transaction or purchase.
Nano Animal Care LLC does not automatically issue the gift card, nor does it automatically apply any funds toward a purchase. Redemption requires affirmative Participant action.
All sales conducted through Nano Music Store LLC are independent retail transactions, initiated voluntarily by consumers and not reimbursed, subsidized, or underwritten by the Nano Entities. The Participation Grant represents a discretionary creative honorarium, not a rebate or refund.
The Participation Grant constitutes compensation for creative participation and not a sale of goods or taxable digital product. The subsequent redemption, if elected, represents an independent consumer transaction of separate economic substance.
Accordingly, and to the fullest extent permitted by law, such grants shall not be deemed subject to sales or use tax.
Nano Animal Care LLC makes no representation regarding individual income-tax obligations and recommends consultation with a qualified tax professional.
This Agreement constitutes the entire understanding between Participant and Nano Animal Care LLC concerning the Submissions and related compensation.
Any dispute shall be governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
Participant agrees that any claim or proceeding arising hereunder shall be brought exclusively in the state or federal courts of Laramie County, Wyoming.
The invalidity or unenforceability of any clause shall not affect the remainder of this Agreement, which shall remain in full force and effect.
To the maximum extent permitted by law, neither Nano Animal Care LLC, Nano Music Store LLC, nor any of their officers, directors, employees, contractors, agents, affiliates, successors, or assigns (collectively, the "Nano Parties") shall be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages of any kind, nor for any loss of profits, data, use, goodwill, or other intangible losses, arising out of or relating to (i) your access to or use of, or inability to access or use, the Site or its associated services; (ii) any conduct or content of any third party; (iii) any content obtained through the Site; or (iv) unauthorized access, use, or alteration of your transmissions or content, regardless of legal theory, whether based in warranty, contract, tort (including negligence), or otherwise, even if a Nano Party has been advised of the possibility of such damages.
You agree to indemnify, defend, and hold harmless the Nano Parties from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including but not limited to attorneys' fees) arising out of or related to (a) your use of or access to the Site, (b) your Submission or conduct in connection therewith, (c) your violation of this Agreement, or (d) your violation of any law or rights of any third party.
The Site, and all related features, content, and services, are provided on an "AS IS" and "AS AVAILABLE" basis, without warranty of any kind, express or implied.
Nano Animal Care LLC expressly disclaims any and all warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
We do not warrant that the Site will be uninterrupted, secure, or error-free, nor that any defects will be corrected.
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Sections 2, 4, 5, 6, 7, and 8 shall survive termination of this Agreement.
